Terms and Conditions
1. General Provisions
These terms and conditions apply to all services provided by Workflow Wizards ("Consultant") to any client ("Client").
2. Services
- The Consultant provides consultancy services as specified in individual service agreements
- Services are provided with reasonable skill and care according to professional standards
- The exact scope of services will be detailed in separate statements of work
3. Fees and Payment
- Fees are specified in individual service agreements
- Payment terms: within 14 days of invoice date
- All fees are exclusive of VAT
- Late payments incur statutory interest charges
4. Intellectual Property
- All pre-existing intellectual property remains with its original owner
- New intellectual property created during service delivery remains with the Consultant unless explicitly agreed otherwise
- Client receives a license to use deliverables for intended business purposes
5. Confidentiality
- Both parties shall maintain strict confidentiality of all information
- Confidentiality obligations survive termination of services
- Excludes information that is publicly available or legally required to be disclosed
6. Liability
- Consultant's liability is limited to the amount paid for services in the 12 months preceding a claim
- Consultant is not liable for indirect or consequential damages
- Liability limitations do not apply to willful misconduct or gross negligence
7. Term and Termination
7.1 Termination by Client:
- Client may terminate the agreement with 30 days written notice
- No refunds will be provided for payments made,
- All outstanding payments remain due
- Additional 10% penalty fee of total project value will be invoiced to the Client.
7.2 Termination by Consultant:
- Consultant may terminate with 30 days written notice
- Client will receive a refund equivalent to the value of the remainder of the project.
- Refund will be processed within 14 business days
7.3 Differences per service
7.3.1 QuickScan Services
- This service is a single 4-hour consultation
- No termination or cancellation is permitted once scheduled
- Payment is due in full prior to service delivery
7.3.2 Prepaid Consultation Package
- Package consists of 10 consultation sessions
- Valid for 365 days from date of purchase
- No refunds or extensions will be provided
- Unused sessions expire after the validity period
- Package can be used freely within the Client’s organization but is non-transferable to other organizations.
7.3.3 Custom Projects
- The exact scope of services, as well as the duration of the Custom Project, will be detailed in separate statements of work
- Termination is per 7.1 and 7.2 of the Terms & Conditions.
8. Use of Client Name and Logo
- The Consultant reserves the right to use the Client’s name, logo, and any successful outcomes or results achieved during this project for portfolio purposes.
- This includes using such information in marketing materials, case studies, presentations, and other promotional activities without prior written consent from the Client.
9. Force Majeure
- Neither party is liable for delays due to circumstances beyond reasonable control
- Obligation to minimize impact of force majeure events
10. Applicable Law
- These terms are governed by Dutch law
- Disputes will be settled by competent courts in Amsterdam
11. Changes
- Consultant reserves the right to modify these terms
- Changes will be communicated in writing
- Client has right to terminate if changes are unacceptable
12. Severability
If any provision is found invalid, remaining provisions stay in effect.
